Terms of Service

1. The agreement

These terms govern the relationship between you (the "Client") and [LEGAL ENTITY NAME], trading as AmeriAd Solutions ("we", "us", "our"), a business located at 1400 East West Hwy, Silver Spring, MD 20910.

They apply from the point you accept a proposal, pay an invoice, or grant us access to your accounts — whichever happens first. If we sign a separate written agreement with you, that agreement takes precedence wherever the two conflict.

2. Services provided

We provide local search engine optimisation services. Depending on what we agree, that may include:

• Audit and optimisation of your Google Business Profile
• Auditing and correcting your business name, address and phone number across online directories
• Setting up and running a review generation process
• Planning and publishing profile posts and local content
• Competitor and market analysis for your target area
• Monthly ranking and performance reporting
• Ongoing adjustments and support for the duration of the engagement

Work outside this scope — website development, paid advertising, branding, content unrelated to local search — is not included and will be quoted separately if you want it.

3. What we need from you

To do the work, we need:

• Manager-level access to your Google Business Profile, granted through Google's own user settings
• Access to your website, where website changes form part of the engagement
• Accurate information about your business, services and service area
• Responses to questions within a reasonable time

You confirm that you own or are authorised to manage the accounts you give us access to, and that the information you provide about your business is accurate. We will tell you before making any significant change.

Please do not send us account passwords. All access should be granted through the permission systems of the platform concerned, so that you can revoke it at any time.

4. Fees, billing and cancellation

Our fee is $1,500 per month, billed in advance. There is no setup fee and no minimum term.

• Each monthly period begins on the date of payment.
• You may cancel at any time by emailing us before your next billing date. You will not be billed again.
• Cancelling part-way through a paid month does not entitle you to a partial refund for that month, and we will continue working until that period ends.
• Fees are exclusive of any applicable taxes.

If a payment fails or is not made, we may pause work until it is resolved. We will contact you before doing so.

5. The 90-day guarantee

We guarantee to get your business into the top 3 of the Google Maps results (the "Map Pack") within 90 days. If you are not in the top 3 after 90 days, we continue working at no further charge until you are.

So that both sides know exactly what is being promised, this guarantee:

• applies to the single primary keyword and the target area agreed in writing at the start of the engagement;
• runs for 90 days from the date we receive all access listed in section 3, not from the date of first payment;
• is a commitment of continued work, not a refund of fees already paid;
• pauses for any period in which we are waiting on access, information, approvals or payment from you;
• does not apply if your Google Business Profile is suspended or restricted for reasons outside our control, if you or a third party makes changes that conflict with our work, or if you provide inaccurate business information.

Ranking is measured as an average across your agreed service area rather than from a single location, since Google Maps results vary by where the searcher is standing. We will agree the measurement method with you in writing before work begins.

We only take on engagements we believe we can deliver. If we do not think your market is winnable within 90 days, we will say so before you pay anything.

6. Exclusivity

For as long as we are working together, we will not take on another client in the same industry within your agreed target area. This protects the work you are paying for. It ends when the engagement ends.

7. Ownership of work

Everything we build for you belongs to you. Your Google Business Profile, your listings, your reviews, your content and your website changes remain yours during and after the engagement. We do not hold assets hostage and we do not remove work when you cancel.

We retain ownership of our own internal templates, processes and tools, which are not specific to your business.

8. What we can't control

We work within systems operated by Google and other third parties. We do not control those systems, and nobody can guarantee how they will behave. Specifically, we are not responsible for:

• changes Google makes to its ranking systems, features or policies;
• suspension, restriction or removal of your profile by Google;
• actions taken by your competitors;
• changes made to your accounts by you or by another party;
• outcomes affected by factors outside search — your pricing, staffing, response times or service quality.

Search results are not a guarantee of enquiries, and enquiries are not a guarantee of revenue. We do not promise a specific number of calls, leads, customers or dollars.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to these terms is limited to the amount you paid us in the three months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special or consequential damages, including lost profits, lost business or loss of data, even if we were advised such damages were possible.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.

10. Ending the agreement

Either of us may end the engagement at any time by written notice. You will not be billed for any period beginning after that notice.

We may end the engagement immediately if you ask us to do something we consider deceptive, unlawful, or against the published guidelines of a platform we work within. We will explain our reasoning if that happens.

On termination we will remove our access to your accounts and, on request, hand over any documentation relating to work performed.

11. Governing law

These terms are governed by the laws of the State of Maryland, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Montgomery County, Maryland, and both parties consent to that jurisdiction.

Before starting formal proceedings, both parties agree to attempt in good faith to resolve the dispute directly, in writing, for at least 30 days.

12. Changes to these terms

We may update these terms from time to time. If you are an active client, we will tell you by email before changes take effect, and the change will apply from your next billing period. Continuing the engagement after that point means you accept the updated terms. The date at the top of this page shows when it was last revised.
